AIKONA TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the AIKONA / AIKONAOFFICIAL™ website, online store and any products purchased through the website (“Store”).

The Store is operated by AIKONA / AIKONAOFFICIAL™ (“AIKONA”, “we”, “us” or “our”).

By accessing the Store, placing an order or purchasing a product from us, you acknowledge that you have read and understood these Terms and agree to be bound by them, to the extent that they are legally applicable to you.

These Terms are governed by the laws of the Republic of South Africa.

Nothing in these Terms is intended to exclude, restrict or waive any right or remedy that a consumer has under mandatory South African law. Where any provision of these Terms conflicts with a mandatory provision of applicable law, that mandatory provision will prevail.

1. Use of the Website

You may use the Store only for lawful purposes and in accordance with these Terms.

You may not use the Store in a manner that is unlawful, fraudulent, abusive, harmful to the Store or its users, or that interferes with the normal operation or security of the website.

You may not attempt to gain unauthorised access to the Store, its systems, databases, accounts or other technical infrastructure.

AIKONA reserves the right to restrict, suspend or terminate access to the Store where reasonably necessary to protect the Store, its users, its systems or its legal rights, subject to applicable law.

2. Eligibility and Capacity to Contract

By placing an order, you represent that you are legally capable of entering into the transaction and that the information you provide is accurate and complete.

Where a person places an order on behalf of another person or entity, that person represents that they have the authority to do so.

Where a transaction is subject to legal requirements relating to age, capacity or consent, the transaction will be subject to those requirements.

3. Products and Product Information

AIKONA makes reasonable efforts to ensure that product descriptions, photographs, measurements, specifications and other information displayed on the Store are accurate and up to date.

However, photographs may not always reproduce the exact appearance of a product due to differences in screens, lighting, photography and device settings.

Minor variations in colour, texture, finish, dimensions or appearance that do not constitute a material defect may occur.

AIKONA reserves the right to correct typographical, pricing, product-description and availability errors before an order is accepted, subject always to applicable consumer-protection law.

Nothing in this section limits a consumer's rights where goods are materially different from what was represented or otherwise fail to comply with applicable legal requirements.

4. Product Availability

All products are subject to availability.

Displaying a product on the Store does not guarantee that the product will remain available.

If a product becomes unavailable after an order has been placed and AIKONA cannot fulfil the order, AIKONA will notify the customer and provide the remedy required by applicable law.

Where applicable law requires a refund because AIKONA is unable to supply an ordered product, that refund will be processed in accordance with the applicable statutory requirements.

5. Prices

All prices displayed on the Store are stated in South African Rand (ZAR), unless expressly indicated otherwise.

The price applicable to an order is the price displayed at the time the order is placed, subject to correction of genuine errors and the requirements of applicable law.

Where applicable, delivery charges, taxes and other mandatory costs will be disclosed to the consumer as required by law.

AIKONA reserves the right to change product prices at any time before an order is placed.

A price change will not retrospectively alter the agreed price of an order that has already been validly accepted, except where applicable law permits otherwise.

6. Pricing Errors

AIKONA takes reasonable steps to ensure that product prices are displayed correctly.

If a product is accidentally listed at an obviously incorrect price due to a genuine technical, typographical or system error, AIKONA reserves the right to take reasonable corrective action, subject to applicable law.

Where legally permitted, AIKONA may contact the customer before processing the order to confirm whether the customer wishes to proceed at the correct price.

If the transaction cannot lawfully proceed at the displayed price, AIKONA will provide the consumer with the remedy required by applicable law.

7. Orders and Order Acceptance

Placing an order constitutes an offer by the customer to purchase the selected products.

An automated order confirmation confirms that AIKONA has received the order. It does not necessarily constitute final acceptance of the order where the order remains subject to verification, availability, payment confirmation or other lawful conditions.

AIKONA may decline or cancel an order where reasonably necessary and legally permitted, including where a product is unavailable, a material pricing or product-information error has occurred, payment cannot be verified, fraudulent activity is reasonably suspected, or the transaction would otherwise be unlawful.

Where an order is cancelled after payment has been received and the law requires a refund, AIKONA will process the applicable refund.

8. Customer Information

Customers are responsible for providing accurate and complete information when placing an order.

This includes the customer's name, delivery address, contact information, email address and any other information reasonably required to fulfil the order.

AIKONA is not responsible for delays, failed deliveries or additional costs caused by incorrect or incomplete information supplied by the customer, to the extent permitted by law.

9. Payment

Payment must be successfully completed using the payment methods made available on the Store.

An order will not be dispatched until payment has been successfully authorised or otherwise confirmed, unless AIKONA expressly agrees to another arrangement.

AIKONA does not store complete payment-card information where the relevant payment service provider processes such information on AIKONA's behalf.

Customers must not use fraudulent payment methods, stolen payment information or another person's payment credentials without proper authorisation.

AIKONA reserves the right to cancel or suspend an order where fraudulent or unauthorised payment activity is reasonably suspected, subject to applicable law.

10. Delivery

AIKONA delivers orders within South Africa using the delivery methods made available at checkout.

The delivery timeframe displayed on the Store or communicated to the customer is an estimated or agreed delivery period, as applicable.

AIKONA currently aims to dispatch and deliver orders within the stated delivery timeframe, subject to product availability, payment confirmation, courier operations and circumstances outside AIKONA's reasonable control.

Where a specific delivery period has been agreed with the customer, that agreed period will apply subject to applicable law.

AIKONA is not responsible for delays caused by circumstances beyond its reasonable control, including courier disruptions, severe weather, natural disasters, infrastructure failures, strikes, civil disturbances, government restrictions or other events that could not reasonably have been prevented.

Nothing in this section removes any statutory cancellation or refund rights available to a consumer where AIKONA fails to deliver within the period required by applicable law.

11. Delivery Address

Customers are responsible for ensuring that the delivery address supplied during checkout is accurate and accessible.

Where a customer provides an incorrect or incomplete address, additional delivery charges may apply where the courier requires a second delivery attempt or redirection, subject to applicable law.

AIKONA may contact the customer to resolve an address problem before dispatching an order.

12. Risk and Delivery

AIKONA remains responsible for fulfilling its obligations regarding delivery in accordance with applicable South African law.

A customer should inspect delivered goods within a reasonable period and contact AIKONA promptly if the wrong product, a visibly damaged product or another delivery problem has occurred.

A customer's failure to immediately report an issue does not automatically remove any statutory consumer right that may apply.

13. Returns, Refunds and Exchanges

Returns, refunds and exchanges are governed by AIKONA's separate Returns & Refunds Policy, which forms part of these Terms.

Consumers retain all mandatory rights provided by the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002 and other applicable South African legislation.

Nothing in these Terms limits those rights.

14. Defective Products

AIKONA recognises the statutory rights applicable to qualifying defective, unsafe or non-compliant goods.

Where the Consumer Protection Act provides a consumer with a remedy, AIKONA will provide the applicable remedy in accordance with the Act.

AIKONA will not exclude liability for a defect, failure or circumstance where South African law prohibits such exclusion.

Where a problem has resulted from misuse, abuse, accidental damage, unauthorised modification, failure to follow reasonable instructions or another circumstance for which AIKONA is not legally responsible, AIKONA may rely on any rights available to it under applicable law.

15. Intellectual Property

Unless otherwise stated, all content appearing on the Store, including the AIKONA name, logos, branding, graphics, photographs, product imagery, text, layouts, designs, videos and other original materials, is owned by or licensed to AIKONA and is protected by applicable intellectual-property laws.

You may access and use the Store for personal and lawful shopping purposes.

You may not reproduce, copy, modify, distribute, sell, commercially exploit or otherwise use AIKONA's protected content without prior written permission, except where permitted by law.

The AIKONA name, logos and associated branding may not be used in a manner that suggests an unauthorised association, sponsorship or endorsement.

16. User-Submitted Content

If the Store permits customers to submit reviews, photographs, comments or other content, customers must ensure that their submissions are lawful and do not infringe the rights of another person.

A customer must not submit content that is fraudulent, defamatory, abusive, discriminatory, threatening, unlawful or deliberately misleading.

By submitting content to AIKONA, the customer grants AIKONA a non-exclusive, royalty-free permission to use, reproduce and display that content for purposes connected with operating, marketing or improving the Store, subject to applicable law and the customer's privacy rights.

AIKONA reserves the right to remove user-generated content that violates these Terms or applicable law.

17. Promotions and Discount Codes

Promotional offers and discount codes are subject to the specific terms communicated with the relevant promotion.

Unless expressly stated otherwise, promotional codes cannot be exchanged for cash and cannot be combined with other promotional codes.

AIKONA may withdraw or amend a promotion where reasonably necessary, subject to applicable law and any rights already acquired by consumers in relation to completed transactions.

A discount or promotion does not remove any statutory consumer rights.

18. Third-Party Services

AIKONA may use third-party service providers, including payment processors, courier companies, hosting providers, analytics providers and other technology providers.

Third-party services may be subject to their own terms and policies.

AIKONA will remain responsible for its own legal obligations to consumers, but is not responsible for independent acts or omissions of third parties to the extent that applicable law does not make AIKONA responsible.

19. Website Availability

AIKONA aims to keep the Store available and operational but does not guarantee uninterrupted or error-free access.

The Store may occasionally be unavailable due to maintenance, technical problems, updates, security measures or circumstances outside AIKONA's reasonable control.

AIKONA reserves the right to modify, suspend or discontinue any part of the Store where reasonably necessary, subject to applicable law.

20. Website Security

AIKONA takes reasonable steps to protect the Store and electronic transactions against unauthorised access and misuse.

However, no internet-based system can be guaranteed to be completely secure.

Customers are responsible for maintaining the confidentiality of passwords and account credentials associated with their accounts.

Customers must notify AIKONA promptly if they suspect unauthorised access to their account.

21. Privacy and Personal Information

AIKONA will process personal information in accordance with its Privacy Policy and applicable South African privacy legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”) where applicable.

Customers should review the AIKONA Privacy Policy before providing personal information through the Store.

22. Limitation of Liability

To the maximum extent permitted by South African law, AIKONA will not be liable for indirect, incidental, consequential or special losses arising from the use of the Store or products purchased through it where such liability may lawfully be excluded.

AIKONA's liability will not be excluded or limited where South African law prohibits such exclusion or limitation.

Nothing in these Terms excludes or limits liability for circumstances that cannot legally be excluded or limited, including applicable statutory consumer rights.

Where a consumer has a statutory remedy under the CPA or another applicable law, that remedy remains available.

23. No Unlawful Exclusion of Consumer Rights

These Terms must not be interpreted as requiring a consumer to waive any right provided by mandatory South African law.

AIKONA will not rely on these Terms to avoid an obligation imposed on it by the Consumer Protection Act, Electronic Communications and Transactions Act, POPIA or another applicable law.

Any provision that is prohibited by law will be applied only to the extent legally permissible.

24. Force Majeure

AIKONA will not be responsible for failure or delay in performing an obligation where the failure or delay results from circumstances beyond AIKONA's reasonable control and could not reasonably have been prevented or overcome.

Such circumstances may include natural disasters, extreme weather, fires, infrastructure failures, telecommunications failures, widespread courier disruptions, strikes, civil unrest, government action, pandemics, cyber incidents affecting third-party infrastructure and other extraordinary events.

This clause does not remove any consumer right that cannot lawfully be excluded.

25. Fraud and Abuse

AIKONA reserves the right to investigate transactions that reasonably appear to involve fraud, payment abuse, false information, chargeback abuse, intentionally damaged goods, exploitation of promotions or other unlawful conduct.

Where legally permitted, AIKONA may suspend or cancel transactions associated with suspected fraudulent activity.

Nothing in this section permits AIKONA to refuse a legitimate statutory consumer remedy.

26. Chargebacks and Payment Disputes

Customers are encouraged to contact AIKONA first where they believe there is an error relating to an order, payment, delivery, return or refund.

Nothing in these Terms prevents a consumer from exercising any lawful right available through their bank, payment provider or applicable dispute-resolution mechanism.

Where a chargeback or payment reversal is initiated in relation to a transaction, AIKONA may provide the relevant transaction, delivery and communication records to the payment provider or financial institution for purposes of investigating the dispute.

27. Complaints

Customers who have a complaint should contact AIKONA using the customer-service details displayed on the Store.

AIKONA will make reasonable efforts to investigate and resolve legitimate complaints.

Nothing in this section prevents a consumer from approaching a competent regulator, ombud, court or other dispute-resolution body where permitted by South African law.

28. Electronic Communications

By using the Store and placing an electronic order, you consent to receiving electronic communications reasonably necessary for the transaction, including order confirmations, invoices, delivery notifications, return communications and other transactional messages.

Electronic communications may satisfy legal requirements for written communication where permitted by applicable law.

ECTA recognises the legal validity of agreements concluded through electronic communications and provides rules governing electronic transactions.

29. Electronic Contract Formation

An agreement concluded electronically is not invalid merely because it was concluded through electronic communications.

Before an order is finally placed, AIKONA will provide the checkout process with an opportunity for the customer to review the transaction and correct material errors where required by applicable law.

The customer is responsible for reviewing the order before final submission.

30. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

The application of South African consumer-protection legislation will not be excluded merely because a consumer accesses the Store from outside South Africa where the legislation otherwise applies.

ECTA specifically provides that the consumer protections in its electronic-transactions chapter apply irrespective of the legal system otherwise applicable to the agreement.

31. Changes to These Terms

AIKONA may update these Terms from time to time to reflect changes to the Store, its products, business practices or applicable law.

The updated Terms will be published on the Store with an updated effective date.

Changes will not retrospectively remove rights that a consumer has already acquired under an existing transaction or applicable law.

32. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary, while the remaining provisions will continue to operate.

33. Entire Agreement

These Terms, together with the AIKONA Returns & Refunds Policy, Privacy Policy and any other policies expressly incorporated into the Store, constitute the terms governing the relevant transaction, subject to mandatory South African law.

Where a specific transaction agreement or applicable law conflicts with these Terms, the mandatory legal requirement or applicable specific agreement will prevail to the extent required.

34. Contact Information

AIKONA's current legal name, registration information where applicable, physical address, telephone number, email address and other legally required business information should be displayed on the Store and kept up to date.
